Zeex Music Terms of Service

Welcome to Zeex Music ("Zeex", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and all related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

These Terms apply to all users, including visitors, artists, and anyone who accesses or uses the Platform.

1. Acceptance of Terms

By creating an account, uploading content, downloading music, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Zeex Music is a digital music distribution and streaming platform that:

• Enables artists to upload, distribute, and monetize their music
• Allows users to discover, stream, and download music
• Provides analytics and revenue tracking for artists
• Facilitates music discovery through playlists, recommendations, and search

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with or without notice.

3. User Accounts

3.1. Account Creation

To upload music or access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2. Artist Accounts

Artist accounts require approval. We reserve the right to:

• Approve or reject artist applications at our sole discretion
• Request additional verification or documentation
• Suspend or terminate accounts that violate these Terms

3.3. Account Termination

You may terminate your account at any time. We may suspend or terminate your account if you violate these Terms or engage in fraudulent, illegal, or harmful activities.

4. Content and Intellectual Property

4.1. Your Content

When you upload music, artwork, lyrics, or other content ("Your Content"), you represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to upload and distribute Your Content
• Your Content does not infringe on any third-party rights, including copyright, trademark, privacy, or publicity rights
• You have obtained all necessary clearances, licenses, and permissions from all contributors, performers, and rights holders
• Your Content is not defamatory, obscene, illegal, or harmful
• Your Content does not contain viruses, malware, or other harmful code

4.2. License to Zeex Music

By uploading Your Content, you grant Zeex Music a worldwide, non-exclusive, royalty-free license to:

• Store, host, and distribute Your Content on the Platform
• Stream, reproduce, and make Your Content available to users
• Use Your Content for promotional purposes (album art, song previews, etc.)
• Create derivative works for technical purposes (format conversion, compression, etc.)
• Display metadata, lyrics, and artwork in connection with Your Content

This license continues until you remove Your Content or terminate your account, except that we may retain copies for backup, legal compliance, or dispute resolution purposes.

4.3. Ownership

You retain all ownership rights to Your Content. Zeex Music does not claim ownership of Your Content. However, you understand that once content is uploaded, it may be downloaded, streamed, or shared by users in accordance with these Terms.

4.4. Platform Content

All content on the Platform, including but not limited to text, graphics, logos, software, and the Platform itself, is owned by Zeex Music or its licensors and is protected by copyright, trademark, and other intellectual property laws.

5. Prohibited Activities

You agree NOT to:

• Upload content that infringes on intellectual property rights
• Upload content that is illegal, harmful, threatening, abusive, or defamatory
• Upload content containing viruses, malware, or malicious code
• Impersonate any person or entity or misrepresent your affiliation
• Use automated systems (bots, scrapers) to access the Platform without permission
• Attempt to gain unauthorized access to any part of the Platform
• Interfere with or disrupt the Platform or servers
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform for any commercial purpose not authorized by these Terms
• Collect or harvest user information without consent
• Upload content that violates any applicable laws or regulations
• Engage in any activity that could damage, disable, or impair the Platform

6. Revenue and Payments

6.1. Revenue Sharing

Artists may earn revenue from downloads and plays of their content. Revenue is calculated based on:

• Total platform revenue from advertising and other sources
• Your content's share of total platform activity (downloads and plays)
• The revenue share percentage as determined by Zeex Music (currently 70% to artists)

Revenue calculations are performed quarterly, and payments are processed after a 4-month holding period.

6.2. Payment Terms

Artists must provide accurate payment information. Payments are made via:

• Mobile money (as specified in your account settings)
• Bank wire transfer (for larger amounts)

You are responsible for any fees charged by payment processors. Zeex Music is not responsible for delays or issues with third-party payment providers.

6.3. Taxes

You are responsible for all taxes associated with revenue earned through the Platform. Zeex Music may be required to report earnings to tax authorities as required by law.

6.4. Refunds

All revenue payments are final. Zeex Music does not provide refunds for revenue already paid to artists, except in cases of proven fraud or error.

7. User Conduct and Content Usage

7.1. Download and Streaming

Users may download and stream music from the Platform for personal, non-commercial use only. You may NOT:

• Redistribute downloaded music for commercial purposes
• Upload downloaded music to other platforms without authorization
• Use downloaded music in commercial projects without proper licensing
• Remove or alter copyright notices or metadata

7.2. Comments and Reviews

Users may post comments and reviews. You agree that your comments:

• Are respectful and not defamatory, abusive, or harassing
• Do not contain spam, advertising, or promotional content
• Do not violate any laws or third-party rights

We reserve the right to remove comments that violate these Terms.

8. Copyright and DMCA

8.1. Copyright Infringement

Zeex Music respects intellectual property rights. If you believe your copyright has been infringed, please contact us with:

• A description of the copyrighted work
• Identification of the infringing material
• Your contact information
• A statement of good faith belief that the use is not authorized
• A statement that the information is accurate and you are authorized to act
• Your signature (physical or electronic)

8.2. Repeat Infringers

We will terminate accounts of users who are repeat copyright infringers in accordance with applicable law.

9. Disclaimers and Limitations of Liability

9.1. Service Availability

The Platform is provided "as is" and "as available." We do not guarantee that the Platform will be uninterrupted, error-free, or secure. We are not liable for any downtime, data loss, or service interruptions.

9.2. Content Disclaimer

We do not endorse, verify, or guarantee the accuracy, quality, or legality of user-uploaded content. You use the Platform and content at your own risk.

9.3. Limitation of Liability

To the maximum extent permitted by law, Zeex Music shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or revenue, arising from your use of the Platform.

Our total liability for any claims shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

9.4. No Warranty

We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zeex Music, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights
• Any fraudulent or illegal activity

11. Dispute Resolution

11.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions.

11.2. Dispute Resolution Process

In the event of any dispute, you agree to first contact us to attempt to resolve the dispute informally. If we cannot resolve the dispute within 60 days, you agree to submit to binding arbitration in accordance with the rules of the Uganda Arbitration Association.

11.3. Class Action Waiver

You agree that any disputes will be resolved individually and not as part of a class action or representative proceeding.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Posting the updated Terms on the Platform
• Sending an email to registered users
• Displaying a notice on the Platform

Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and may terminate your account.

13. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Platform will immediately cease
• We may delete or disable your account and content
• You remain responsible for any obligations incurred before termination
• Provisions that by their nature should survive termination will remain in effect

14. Miscellaneous

14.1. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Zeex Music.

14.2. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.4. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

14.5. Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.
